Marvell goes all-in on AI optics with $115B Lumentum deal

The what would be the largest merger between two publicly traded companies on record, Marvell Technology is embarking on a $115 billion all-stock acquisition of Lumentum Holdings. It’s placing a huge bet on AI optical connectivity, merging custom semiconductor design with in-house laser and photonics manufacturing. The deal creates a silicon-photonics rival to Broadcom, which also possesses networking silicon and an in-house laser/photonics portfolio.

In a company statement, CEO Matt Murphy said “AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation.”

Marvell contends the combined company’s total addressable market would grow to about $550 billion, but some analysts are questioning if the all-stock acquisition is too high a risk. As of today, Marvell shares fell roughly 10%, and Lumentum about 8%, though it’s worth noting major investment banks are looking past the near-term dilution, predicting that the combined companies’ earnings will justify the valuation upside.

Where Google, Microsoft, Meta, and other hyperscalers are seeking out custom processors, data digital signal processors, and  optics, as well as the option to leverage Co-Packaged Optics (CPO), Marvell’s control of specialized physical fabrication could mean highly integrated package that transforms data center design. Conversely, it could also increase anxiety about vendor lock-in, with two giants owning the entire data center fabric.
